{"id":16989,"date":"2021-06-18T09:01:48","date_gmt":"2021-06-18T09:01:48","guid":{"rendered":"http:\/\/localhost:8080\/?p=16989"},"modified":"2021-06-18T09:01:48","modified_gmt":"2021-06-18T09:01:48","slug":"projet-orange-cyberdefense-a-quelles-fins-orange-filialise-t-elle-ses-activites-de-cyberdefense-en-europe","status":"publish","type":"post","link":"https:\/\/dev.cfecgc-orange.app\/index.php\/2021\/06\/18\/projet-orange-cyberdefense-a-quelles-fins-orange-filialise-t-elle-ses-activites-de-cyberdefense-en-europe\/","title":{"rendered":"Projet Orange Cyberd\u00e9fense : \u00e0 quelles fins Orange filialise-t-elle ses activit\u00e9s de cyberd\u00e9fense en Europe ?"},"content":{"rendered":"<p>[<em>French version here\/English version below<\/em>]<\/p>\n<p>Dans le cadre du Comit\u00e9 de Groupe Europ\u00e9en d&rsquo;Orange des 9, 10 et 11 juin 2021 organis\u00e9 \u00e0 distance, la Direction du Groupe a inscrit un point \u00e0 l&rsquo;ordre du jour relatif au projet de cr\u00e9ation d\u2019une soci\u00e9t\u00e9 Holding Cyberdefense pr\u00e9sent\u00e9 par Laurent C\u00e9l\u00e9rier, Executive Vice President Technologie et Marketing, et Audrey Barth\u00e9l\u00e9my, Directrice juridique d\u2019Orange Cyberdefense.<\/p>\n<p>Ce projet affectant huit pays europ\u00e9ens fait l\u2019objet d\u2019une proc\u00e9dure d\u2019information &#8211; consultation du Comit\u00e9 de Groupe Europ\u00e9en et doit en cons\u00e9quence \u00eatre \u00e0 l\u2019ordre du jour de trois r\u00e9unions, dont celle du 10 juin constituait la premi\u00e8re. Deux s\u00e9ances extraordinaires sont souhait\u00e9es par la Direction en juillet et septembre, alors m\u00eame que le Comit\u00e9 de Groupe Europ\u00e9en doit \u00e0 nouveau se r\u00e9unir en s\u00e9ance ordinaire d\u00e9but novembre.<\/p>\n<p>Selon un r\u00e9tro planning pr\u00e9sent\u00e9 en s\u00e9ance, la Direction du Groupe envisage en effet que la holding soit cr\u00e9\u00e9e d\u00e8s le 1<sup>er<\/sup> janvier 2022 pour des raisons comptables. Or trois mois minimum sont n\u00e9cessaires pour l\u2019ensemble des d\u00e9marches \u00e0 compter de l\u2019avis rendu par les diff\u00e9rentes instances repr\u00e9sentatives.<\/p>\n<p>Le projet fait \u00e9galement l\u2019objet d\u2019une information-consultation devant le Comit\u00e9 Social et Economique Central d\u2019Orange Business Services.<\/p>\n<p>Le Comit\u00e9 de Groupe Europ\u00e9en a donc \u00e9t\u00e9 saisi d\u2019un nouveau projet de filialisation, concernant cette fois, juste apr\u00e8s celui des infrastructures passives des r\u00e9seaux mobiles d\u2019Orange France et Orange Espagne, les activit\u00e9s de cybers\u00e9curit\u00e9 du Groupe dans tous les pays europ\u00e9ens o\u00f9 elles s\u2019exercent.<\/p>\n<p>Le projet de la Direction est de \u00ab&nbsp;d\u00e9tourer&nbsp;\u00bb&nbsp;et externaliser ces activit\u00e9s qui constituent l\u2019un des plus forts relais de croissance, amen\u00e9 \u00e0 compenser partiellement le d\u00e9clin de l\u2019activit\u00e9 telco&nbsp;: elles p\u00e8sent aujourd\u2019hui moins d\u2019un milliard d\u2019euros, mais elles ont g\u00e9n\u00e9r\u00e9 un chiffre d\u2019affaires multipli\u00e9 par trois entre 2017 et 2020. Lors de cette premi\u00e8re r\u00e9union, ont \u00e9t\u00e9 expos\u00e9es les motivations juridiques et financi\u00e8res. Les logiques industrielles et strat\u00e9giques ont, \u00e0 ce jour, \u00e9t\u00e9 absentes des \u00e9changes en s\u00e9ance pl\u00e9ni\u00e8re.<\/p>\n<p>Le projet est en effet pr\u00e9sent\u00e9 comme un dossier technique visant la r\u00e9duction et &nbsp;la rationalisation du portefeuille des filiales op\u00e9rant pour Orange Cyberd\u00e9fense depuis le rachat de SecureLink et Secure Data qui doivent toutes passer sous droit fran\u00e7ais. La cr\u00e9ation de la holding ne serait ainsi que la suite logique de ces acquisitions aux fins d\u2019en consolider l\u2019ensemble des activit\u00e9s.<\/p>\n<p>La pertinence du projet est questionn\u00e9e au regard d\u2019autres arguments, tels que: lever de la dette, favoriser une croissance inorganique, proc\u00e9der par \u00e9change de parts \u00e0 de nouvelles acquisitions, d\u00e9velopper des offres cyber non int\u00e9gr\u00e9es dans les offres d\u2019Orange Business Services qui repr\u00e9senteraient d\u2019ores et d\u00e9j\u00e0 75% du chiffre d&rsquo;affaires, mettre en place une politique d\u2019achats centralis\u00e9e. L\u2019ouverture au march\u00e9 est \u00e0 ce stade \u00e9cart\u00e9e.<\/p>\n<p>Le projet serait sans impact aucun sur les \u00e9quipes qui portent l\u2019activit\u00e9 cybers\u00e9curit\u00e9.<\/p>\n<p>Tout aussi rassurante a \u00e9t\u00e9&nbsp; la r\u00e9ponse de la Direction sur les m\u00e9thodes de ventes chez Orange Business Services qui ne devraient en rien \u00eatre modifi\u00e9es lorsque les services de cybers\u00e9curit\u00e9 sont int\u00e9gr\u00e9es aux offres d&rsquo;Orange Business Services.<\/p>\n<p><strong>Les \u00e9lus ont abord\u00e9 ce nouveau dossier, pr\u00e9sent\u00e9 comme une simple entreprise de simplification de la structure juridique, avec une certaine perplexit\u00e9. Le planning tr\u00e8s resserr\u00e9 propos\u00e9 par la Direction ne parait pas satisfaisant. Le discours qui se voulait rassurant de la part de la Direction sur l\u2019absence totale d\u2019impact social, ne les emp\u00eache pas de redouter des transformations \u00e0 moyen terme susceptibles d\u2019affecter les salari\u00e9s. Bien entendu la complexit\u00e9 de la structure actuelle et la difficult\u00e9 \u00e0 piloter des filiales en trop grand nombre ne leur a pas \u00e9chapp\u00e9, mais demeurent une interrogation quant \u00e0 la n\u00e9cessit\u00e9 de cr\u00e9er la nouvelle holding \u00e0 laquelle ces filiales seront rattach\u00e9es.<\/strong><\/p>\n<p>[<em>English version<\/em>]<\/p>\n<p>As part of the Orange European Works Council on June 9<sup>th<\/sup>, 10<sup>th<\/sup> and 11<sup>th<\/sup> 2021, organized remotely, the Group Management has included an item on the agenda relating to the Orange Cyberdefense project, presented by Laurent C\u00e9l\u00e9rier,&nbsp;Executive Vice President Technology and Marketing, and Audrey Barth\u00e9l\u00e9my, Legal Director of Orange Cyberdefense.<\/p>\n<p>This project affecting eight European countries is the subject of an information &#8211; consultation procedure of the European Works Council and must therefore be on the agenda of three meetings of which that of June 10th was the first. Two extraordinary sessions are desired by the Management in July and September, while the European Works Council must again meet in ordinary session at the beginning of November.<\/p>\n<p>According to a retro-planning presented at the meeting, the Group&rsquo;s Management is indeed planning that the Holding company be created on January 1st 2022 for accounting reasons. A minimum of three months are necessary for all the procedures from the opinion delivered by the various representative bodies.<\/p>\n<p>The project is also the subject of an information-consultation before the Central Works Council of Orange Business Services.&nbsp;The European Works Council therefore received this new subsidiary project, just after the passive infrastructure of the Orange France and Orange Spain mobile networks, this time concerning the Group&rsquo;s cybersecurity activities in all European countries where they are exercising.&nbsp;<\/p>\n<p>The Management&rsquo;s plan to outsource these activities, which constitute one of the strongest sources of growth, partially offset the decline in telco activity: they currently weigh less than one billion euros but they generated a turnover multiplied by three between 2017 and 2020. During this first meeting, the legal and financial motivations were presented. Industrial and strategic logics have, to date, been absent from the discussions in plenary session.<\/p>\n<p>The project is in fact presented as a technical file aimed at reducing and rationalizing the portfolio of subsidiaries operating for Orange Cyberdefense since the takeover of SecureLink and SecureData, which must all come under french law. The creation of the Holding would therefore only be the logical continuation of these acquisitions in order to consolidate all of their activities.&nbsp;<\/p>\n<p>The relevance of the project is questioned in the light of other arguments, such as: raising debt, promoting inorganic growth, exchanging shares in new acquisitions, developing cyber offers not included in Orange Business Services offers which would represent already 75% of turnover, set up a centralized purchasing policy. Market opening is ruled out at this stage.<\/p>\n<p>The project would have no impact on the teams that carry the cybersecurity activity.<\/p>\n<p>Equally reassuring was Management&rsquo;s response to Orange Business Services sales methods, which should not be changed in any way when cybersecurity services are integrated into Orange Business Services offers.<\/p>\n<p><strong>The elected members approached this new file, presented as a simple enterprise of simplifying the legal structure, with a certain perplexity. The very tight schedule proposed by the Management does not seem satisfactory. The reassuring discourse on the part of the Management on the total absence of social impact, does not prevent them from fearing medium-term changes likely to affect employees.
