{"id":18771,"date":"2022-03-24T16:43:06","date_gmt":"2022-03-24T16:43:06","guid":{"rendered":"http:\/\/localhost:8080\/?p=18771"},"modified":"2022-03-24T16:43:06","modified_gmt":"2022-03-24T16:43:06","slug":"le-carve-out-des-activites-de-cybersecurite-du-groupe-constituait-il-un-passage-oblige-dans-le-developpement-d-orange-cyber-defense","status":"publish","type":"post","link":"https:\/\/dev.cfecgc-orange.app\/index.php\/2022\/03\/24\/le-carve-out-des-activites-de-cybersecurite-du-groupe-constituait-il-un-passage-oblige-dans-le-developpement-d-orange-cyber-defense\/","title":{"rendered":"Le \u00ab\u00a0carve-out\u00a0\u00bb des activit\u00e9s de cybers\u00e9curit\u00e9 du Groupe constituait-il un passage oblig\u00e9 dans le d\u00e9veloppement d\u2019Orange Cyber D\u00e9fense ?"},"content":{"rendered":"<p>[<em>French version here\/English version below<\/em>]<\/p>\n<p>Dans le cadre de la r\u00e9union du Comit\u00e9 de Groupe Europ\u00e9en d&rsquo;Orange des 8, 9 et 10 mars 2022 organis\u00e9e \u00e0 distance, la Direction du Groupe a inscrit \u00e0 l&rsquo;ordre du jour le Projet Falcon pr\u00e9sent\u00e9 par Hugues Foulon, Directeur Ex\u00e9cutif Strat\u00e9gie et des activit\u00e9s de cyber-s\u00e9curit\u00e9, David Anglister, Consultant interne \u2013 Angus McMichael, Directeur des Ressources Humaines, et &nbsp;Mechtild Walser Ertel, Executive Vice-President Global Human Resources &amp;Corporate Social Responsibility d\u2019Orange Business Services.<\/p>\n<p>Le projet Falcon d\u00e9signe le volet op\u00e9rationnel et social du projet de d\u00e9tourage des activit\u00e9s cyberd\u00e9fense du Groupe et fait suite \u00e0 la cr\u00e9ation de la nouvelle soci\u00e9t\u00e9 Holding OCD SAS vou\u00e9e \u00e0 porter l\u2019ensemble de ces activit\u00e9s de cyberd\u00e9fense.<\/p>\n<p>La premi\u00e8re \u00e9tape, de nature juridique et financi\u00e8re, qu\u2019avait constitu\u00e9e la cr\u00e9ation de la soci\u00e9t\u00e9 Holding, avait fait l\u2019objet d\u2019une proc\u00e9dure d\u2019information &#8211; consultation devant le Comit\u00e9 de Groupe Europ\u00e9en en 2021, le d\u00e9tourage et la r\u00e9organisation des activit\u00e9s de cyber-s\u00e9curit\u00e9 ayant, \u00e0 ce premier stade, \u00e9t\u00e9 laiss\u00e9s \u00e0 l\u2019\u00e9cart des d\u00e9bats.<\/p>\n<p>Une deuxi\u00e8me proc\u00e9dure d\u2019information &#8211; consultation relative aux activit\u00e9s de cyberd\u00e9fense, consacr\u00e9e cette fois au \u00ab\u00a0carve-out\u00a0\u00bb des activit\u00e9s et au transfert des salari\u00e9s affect\u00e9s \u00e0 ces activit\u00e9s vers la nouvelle entit\u00e9 r\u00e9cemment filialis\u00e9e, a \u00e9t\u00e9 l\u2019objet d\u2019une troisi\u00e8me et ultime r\u00e9union du Comit\u00e9 de Groupe Europ\u00e9en.<\/p>\n<p>La s\u00e9ance pl\u00e9ni\u00e8re du 9 mars a \u00e9t\u00e9 principalement d\u00e9volue aux pr\u00e9sentations des rapports \u00e9tablis par les cabinets Secafi et Technologia suite aux expertises qui ont \u00e9t\u00e9 r\u00e9alis\u00e9es \u00e0 la demande respectivement du Ccomit\u00e9 de Groupe Europ\u00e9en et du Comit\u00e9 Social et Economique d\u2019Orange Business Services.<\/p>\n<p>Outre la France, mais dans une moindre mesure s\u2019agissant des effectifs directement affect\u00e9s, le projet concerne \u00e9galement la Su\u00e8de, l\u2019Allemagne, les Pays-Bas et la Belgique.<\/p>\n<p>Sur le plan social, les expertises ont mis en \u00e9vidence un moins-disant social pour les salari\u00e9s susceptibles de suivre leur activit\u00e9 dans la filiale Orange Cyberd\u00e9fense SAS. En France ce moins-disant r\u00e9sulte notamment du changement de convention collective qui est moins favorable. Les transferts se feront sur la base du volontariat. Les risques point\u00e9s sont donc celui d\u2019une d\u00e9perdition des comp\u00e9tences pour Orange Cyberd\u00e9fense SAS et de probl\u00e8mes de continuit\u00e9 des activit\u00e9s, ainsi que la n\u00e9cessit\u00e9 de trouver des mobilit\u00e9s hors cyberd\u00e9fense aux salari\u00e9s qui refusent le transfert. Technologia pointe \u00e9galement le risque pour Orange Cyberd\u00e9fense de devoir faire des recrutements au prix du march\u00e9 pour les activit\u00e9s des salari\u00e9s qui choisiront de rester au sein de leur entit\u00e9.<\/p>\n<p>Sur le plan \u00e9conomique, la conclusion des experts est que le \u00ab\u00a0carve-out\u00a0\u00bb constitue probablement une opportunit\u00e9 de d\u00e9veloppement des activit\u00e9s de cyberd\u00e9fense et favorisera, \u00e0 terme, la croissance externe. Le choix retenu n\u2019\u00e9tait toutefois pas le seul mod\u00e8le de d\u00e9veloppement et le maintien de ces activ\u00e9s au sein d\u2019Orange Business Services ne constituerait pas un frein \u00e0 ce d\u00e9veloppement.<\/p>\n<p><strong>En cons\u00e9quence, les membres du Comit\u00e9 de Groupe Europ\u00e9en se sont prononc\u00e9s, \u00e0 une nette majorit\u00e9, dans le sens d\u2019un avis n\u00e9gatif sur le projet Falcon le principe \u00e9tant que les repr\u00e9sentants de tous les pays fassent entendre leur voix quel que soit l\u2019impact du projet sur leur g\u00e9ographie, au terme des trois r\u00e9unions de l\u2019information &#8211; consultation. <\/strong><\/p>\n<p><strong><a href=\"http:\/\/localhost:8080\/wp-content\/uploads\/2022\/03\/avis_du_cge_falcon_information-consultation_v.final_.pdf\" target=\"_blank\" class=\"wf_file\"><img decoding=\"async\" src=\"http:\/\/localhost:8080\/wp-content\/uploads\/2010\/11\/pdf.png\" alt=\"pdf\" class=\"wf_file_icon\" style=\"border: 0px; vertical-align: middle; max-width: inherit;\" \/><span class=\"wf_file_text\">Dans l\u2019avis motiv\u00e9 formul\u00e9 par le Comit\u00e9<\/span><\/a>, les \u00e9lus ont consid\u00e9r\u00e9 que le projet de d\u00e9tourage concernant un segment d\u2019Orange Business Services particuli\u00e8rement porteur et strat\u00e9gique pour l\u2019avenir du Groupe aura un impact social d\u00e9favorable pour les 127 salari\u00e9s concern\u00e9s sur le p\u00e9rim\u00e8tre europ\u00e9en, dont une centaine en France rel\u00e8veront, suite \u00e0 leur transfert vers Orange Cyberd\u00e9fense SAS, d\u2019une convention collective moins-disante et pourrait en cons\u00e9quence d\u00e9courager les experts du domaine, \u00e9galement tr\u00e8s recherch\u00e9s par nos concurrents, de rejoindre la filiale. <\/strong><\/p>\n<p><strong>Sur le plan \u00e9conomique il leur ait \u00e9galement apparu que la croissance et le d\u00e9veloppement des activit\u00e9s de cyber-s\u00e9curit\u00e9 ainsi que l\u2019am\u00e9lioration de leur profitabilit\u00e9 auraient pu \u00eatre obtenus au sein du p\u00e9rim\u00e8tre d\u2019Orange Business Services, en raison de synergies cr\u00e9atrices de valeur, sans passer par un \u00ab\u00a0carve-out\u00a0\u00bb. <\/strong><\/p>\n<p><strong>Le carve-out entrainera en outre une facturation des prestations qui seront rendues par Orange Business Services SA &nbsp;\u00e0 Orange Cyberd\u00e9fense SAS pour lesquelles le niveau de commissionnement d\u2019Orange Business Services SA est susceptible d\u2019affecter sensiblement la rentabilit\u00e9 de l\u2019une ou de l\u2019autre. <\/strong><\/p>\n<p><strong>Enfin, la question de l\u2019ouverture future du capital d\u2019Orange Cyberd\u00e9fense n\u2019a pas \u00e9t\u00e9 abord\u00e9e comme un sujet d\u2019actualit\u00e9 mais reste bien \u00e9videmment dans tous les esprits. <\/strong><\/p>\n<p><strong>Les \u00e9lus entendent donc rester vigilants sur la mise en \u0153uvre du projet et ont sollicit\u00e9 un suivi du dossier lors des prochaines s\u00e9ances pl\u00e9ni\u00e8res.<\/strong><\/p>\n<p>[<em>English version<\/em>]<\/p>\n<p>As part of the meeting of Orange&rsquo;s European Works Council on March 8th, 9th and 10th, 2022, organized remotely, Group Management has included the Falcon Project on the agenda, presented by Hugues Foulon, Executive Director Strategy and cyber-security activities, David Anglister, Internal consultant \u2013 Angus McMichael, Director of Human Resources, and Mechtild Walser Ertel, Orange Business Services Executive Vice-President Global Human Resources &amp;Corporate Social Responsibility.<\/p>\n<p>The Falcon project designates the operational and social component of the Group&rsquo;s cyberdefense activities carve-out project and follows the creation of the new Orange Cyberdefense Holding company dedicated to carrying all of these cyberdefense activities.<\/p>\n<p>The first stage, of a legal and financial nature, which had constituted the creation of the Holding company Orange Cyberdefense SAS, had been the subject of an information consultation procedure in 2021, the carve-out and reorganization of cyber- security, having at this first stage been left out of the debates.<\/p>\n<p>A second information-consultation procedure relating to cyberdefense activities, devoted this time to the carve-out of activities and the transfer of employees assigned to these activities to the new, recently subsidiary entity, was the subject of a third and final meeting.<\/p>\n<p>The plenary session of March 9th was mainly devoted to the presentations of the reports drawn up by Secafi and Technologia following the expert appraisals carried out at the request of the European Works Council and the representives of Orange Business Services respectively.<\/p>\n<p>In addition to France, but to a lesser extent in terms of the workforce directly affected, the project also concerns Sweden, Germany, the Netherlands and Belgium.<\/p>\n<p>On the social level, the appraisals highlighted a lesser social bid for the employees likely to follow their activity in the Orange Cyberdefense SAS subsidiary. In France, this lower bid results in particular from the change in the collective agreement, which is less favourable. Transfers will be on a voluntary basis. The risks identified are therefore that of a loss of skills for Orange Cyberdefense SAS and the continuity of activities as well as the need to find mobility outside cyber defense for employees who refuse the transfer. Technologia also points out the risk for Orange Cyberdefense SAS of having to recruit at market price for the activities of employees who choose to remain within their entity.<\/p>\n<p>From an economic point of view, the experts&rsquo; conclusion is that the carve-out is probably an opportunity for the development of cyber defense activities and external growth.
