{"id":8672,"date":"2017-12-07T16:53:17","date_gmt":"2017-12-07T16:53:17","guid":{"rendered":"http:\/\/localhost:8080\/?p=8672"},"modified":"2017-12-07T16:53:17","modified_gmt":"2017-12-07T16:53:17","slug":"compliance-et-politique-anticorruption","status":"publish","type":"post","link":"https:\/\/dev.cfecgc-orange.app\/index.php\/2017\/12\/07\/compliance-et-politique-anticorruption\/","title":{"rendered":"Compliance et politique anticorruption"},"content":{"rendered":"<p>[<em>French version here\/English version below<\/em>]<\/p>\n<p>Dans le cadre du Comit\u00e9 de Groupe Europ\u00e9en d&rsquo;Orange des 27, 28, 29 et 30 novembre 2017 \u00e0 Bruxelles, la Direction du Groupe a inscrit un point \u00e0 l&rsquo;ordre du jour relatif \u00e0 la compliance et la politique anticorruption pr\u00e9sent\u00e9 par Pierre Antoine Badoz, Group Chief Compliance Officer.<\/p>\n<p> Le fait g\u00e9n\u00e9rateur du projet de mise \u00e0 jour des r\u00e8gles de \u00ab&nbsp;compliance&nbsp;\u00bb pr\u00e9sent\u00e9 par la Direction du groupe est l\u2019adoption, en France, de la loi dite \u00ab&nbsp;Sapin 2&nbsp;\u00bb qui renforce la lutte anticorruption. La loi impose aux entreprises de plus de 500 salari\u00e9s ou r\u00e9alisant un chiffre d&rsquo;affaires de plus de 100 M\u20ac de mettre en place un dispositif de pr\u00e9vention, notamment par l\u2019introduction, dans leur r\u00e8glement int\u00e9rieur, apr\u00e8s consultation de leurs instances repr\u00e9sentatives du personnel, d\u2019un code de bonne conduite ainsi que d\u2019un r\u00e9gime de sanctions disciplinaires. Elle les contraint \u00e9galement \u00e0 davantage de protection en faveur des lanceurs d\u2019alerte.&nbsp; <\/p>\n<p> Cette pr\u00e9sentation constituait donc un passage oblig\u00e9.<\/p>\n<p> L\u2019extraterritorialit\u00e9 des dispositions l\u00e9gales a \u00e9t\u00e9 imm\u00e9diatement \u00e9voqu\u00e9e par P.A. Badoz compte-tenu de l\u2019assistance. Entrent bien dans le champ d\u2019application de la loi fran\u00e7aise les actes commis par un ressortissant fran\u00e7ais \u00e0 l\u2019\u00e9tranger. <\/p>\n<p> La pr\u00e9sentation a port\u00e9 sur les 8 mesures que doit prendre l\u2019entreprise, parmi lesquelles l\u2019adoption du code de bonne conduite qui pr\u00e9cise les comportements \u00e0 proscrire, le r\u00e9gime disciplinaire, le dispositif de formation des salari\u00e9s. Pour r\u00e9pondre \u00e0 l\u2019obligation d\u2019adopter un code de bonne conduite, Orange a en cons\u00e9quence mis \u00e0 jour la charte de d\u00e9ontologie existante en y int\u00e9grant les exigences nouvelles de la loi Sapin 2. La charte constitue ainsi un r\u00e9f\u00e9rentiel de principes \u00e0 respecter et de comportements \u00e0 proscrire \u00e0 l\u2019encontre desquels le Groupe affiche un principe de Tol\u00e9rance Z\u00e9ro. <\/p>\n<p> <b>Les \u00e9lus ont de mani\u00e8re g\u00e9n\u00e9rale regrett\u00e9 une pr\u00e9sentation th\u00e9orique bas\u00e9e sur des concepts juridiques plut\u00f4t que sur des exemples concrets. Une approche chronologique de la politique anticorruption depuis 2003 qui dresse un bilan chiffr\u00e9 de l\u2019action pass\u00e9e \u00e9tait attendue.<\/b><\/p>\n<p> <b>La question de l\u2019extraterritorialit\u00e9 a fait l\u2019objet d\u2019une interrogation compl\u00e9mentaire dans l\u2019\u00e9ventualit\u00e9 de la commission d\u2019actes fautifs hors du territoire national par des ressortissants non fran\u00e7ais dans les filiales europ\u00e9ennes. Sur le plan l\u00e9gal la r\u00e9ponse a \u00e9t\u00e9 claire&nbsp;: le droit p\u00e9nal fran\u00e7ais n\u2019est pas applicable. Aux \u00e9lus sugg\u00e9rant un code de conduite diff\u00e9rent selon le pays, la Direction a en revanche confirm\u00e9 que le Groupe avait la volont\u00e9 d\u2019harmoniser, dans le respect des droits du travail locaux, le r\u00e9gime des sanctions disciplinaires. &nbsp;&nbsp;<\/b><\/p>\n<p> <b>Les \u00e9lus n\u2019ont pas obtenu de r\u00e9ponse pr\u00e9cise sur les conditions dans lesquelles op\u00e8rent les \u00e9quipes de contr\u00f4le interne et leurs m\u00e9thodes d\u2019investigation. Un vrai d\u00e9ficit de transparence a \u00e9t\u00e9 d\u00e9nonc\u00e9 sur ce point.<\/b><\/p>\n<p> <b>Le ressenti exprim\u00e9 a \u00e9t\u00e9 que le Groupe op\u00e9rait en la mati\u00e8re un transfert de la responsabilit\u00e9 de l\u2019entreprise vers les salari\u00e9s.&nbsp; <\/b><\/p>\n<p> <b>Les \u00e9lus ont \u00e9galement \u00e9largi le d\u00e9bat \u00e0 la question de la lutte anticorruption chez nos sous-traitants et partenaires commerciaux (Ericsson, Samsung, etc).<\/b><\/p>\n<p>[<em>English version<\/em>]<\/p>\n<p>Within the framework of the Orange European Works Council of 27th, 28th, 29th and 30th November 2017 in Brussels, the Group&rsquo;s Management has included an item on the agenda related to compliance and anti-corruption policy presented by Pierre Antoine Badoz, Group Chief Compliance Officer.<\/p>\n<p>The driving force behind the project to update the compliance rules presented by the Group&rsquo;s Management is the adoption, in France, of the \u00ab\u00a0Sapin 2\u00a0\u00bb law, which strengthens the fight against corruption. The law requires companies with more than 500 employees or turnover of more than \u20ac 100 million to set up a prevention system, including the introduction, in their internal regulations, after consultation with their different works councils, a code of good conduct and a disciplinary sanctions regime. It also forces them to provide more protection for whistleblowers.<\/p>\n<p>This presentation was therefore a must.<\/p>\n<p>The extraterritoriality of the legal provisions was immediately mentioned by P.A. Badoz in view of the assistance. The acts committed by a French national abroad are well within the scope of French law.<\/p>\n<p>The presentation focused on the 8 measures that the company must take, among which the adoption of the code of good conduct which specifies the behaviors to proscribe, the disciplinary regime, the training program of the employees. To comply with the obligation to adopt a code of good conduct, Orange has updated the existing code of ethics by incorporating the new requirements of the \u00ab\u00a0Sapin 2\u00a0\u00bb law. The charter thus constitutes a set of principles to be respected and behaviors to be avoided against which the Group displays a principle of Zero Tolerance.<\/p>\n<p><strong>The elected representatives have generally regretted a theoretical presentation based on legal concepts rather than concrete examples. A chronological approach to the anti-corruption policy since 2003 that provides a quantified assessment of past action was awaited.<\/strong><\/p>\n<p><strong>The question of extraterritoriality has been the subject of a supplementary interrogation in the event of the commission of wrongdoing outside the national territory by non-French nationals in the European subsidiaries. From the legal point of view, the answer was clear: French criminal law is not applicable. Elected officials suggested a different code of conduct depending on the country, but the Management confirmed that the Group was willing to harmonize, in compliance with local labor rights, the disciplinary sanctions regime.<\/strong><\/p>\n<p><strong>The Council members did not get a precise answer on the conditions in which the internal control teams operate and their methods of investigation.
